Frequently Asked Questions (Deloitte Settlement)

1. Do I have to file a claim for both Settlements?

A. No. If you have already sent in a Proof of Claim Form in connection with the Delphi Settlement, you should not do anything else to participate in the Deloitte & Touche Settlement, provided that your claim is valid and you do not receive a letter requesting additional information from the Claims Administrator. You may contact the Claims Administrator by clicking here to check the status of your claim.

2. I didn't file a claim for the first Settlement. Can I still participate?

A. Yes. If you submit a valid Proof of Claim Form by May 30, 2008, you will qualify to participate in both the Delphi and Deloitte Settlements.

3. What are the securities that are eligible under the two Settlements?

A. The eligible securities for the two Settlements are as follows:

Common Stock;

Delphi 6.5% Unsecured Notes due May 1, 2009;

Delphi 6.5% Unsecured Notes due August 15, 2013;

Delphi 6.55% Unsecured Notes due June 15, 2006;

Delphi 7.125% Unsecured Notes due May 1, 2029;

Delphi 8.25% Trust I Preferred Securities due October 15, 2033;

Delphi Adjustable Rate Trust II Preferred Securities due November 15, 2033.

4. If I excluded myself from the Delphi Settlement, can I still participate in the Deloitte Settlement?

A. No. If you previously submitted a timely and valid exclusion request in connection with the Delphi Settlement, you are excluded from the Class in the Deloitte Settlement.

5. What are my rights with regard to excluding myself from either of the Settlements or both?

A. If you submitted a request for exclusion in accordance with the requirements of the Delphi Notice, then you are excluded from the Class (you do not need to exclude yourself again) and may not participate in the class action settlement funds.

If you did not submit a valid request for exclusion from the Delphi Settlement by October 29, 2007, and you do not want a payment from the Deloitte & Touche Settlement Fund, but you want to keep the right to sue or continue to pursue any Settled Claim you may have against Deloitte & Touche and the other Released Parties, on your own, about the legal issues in this case, then you must take steps to exclude yourself from the Deloitte Settlement no later than April 15, 2008. This is called "excluding yourself" or "opting out" of the settlement class.

If you exclude yourself from the Class or previously excluded yourself from the Class in connection with the Delphi Settlement, you may not receive any payment from the Net Deloitte & Touche Settlement Fund.

If you exclude yourself with respect to the Deloitte & Touche Settlement, but did not exclude yourself previously, you may still share in the proceeds of the Delphi Settlement so long as you previously submitted an acceptable Proof of Claim.

6. What is the amount of the Deloitte Settlement Fund?

A. Deloitte & Touche has agreed to pay $38,250,000 to the Class, to be divided, after taxes, fees, and expenses, among all Class Members who either submit a valid Proof of Claim form or have already submitted a valid Proof of Claim form in connection with the Delphi Settlement. The $38,250,000 settlement amount is in addition to the monies and stock being recovered in the Delphi Settlement.
